Terms of Service and Software License

Welcome to Passwall. These Terms of Service and Software License ("Agreement") govern your access to and use of Passwall's services, software, applications, and content (collectively "Passwall Services"). By accessing or using the Passwall Services, you agree to be bound by these terms. If you do not agree, do not use the Passwall Services.
1. Acceptance of Terms
This Agreement is a legally binding contract between you and Passwall Ltd. Your use of the Passwall Services constitutes your acceptance of and agreement to this Agreement.
2. Description of Service
Passwall provides a secure password management service that allows you to store and manage passwords and other sensitive information, sync data across multiple devices, share credentials securely with team members on Team or Enterprise plans, and access your data via web, mobile, desktop, and browser extensions. Passwall may modify, update, or discontinue services or features at any time without prior notice. (Industry standards from similar services such as 1Password and LastPass show similar scope definitions.)
3. Account Registration
3.1 Account Creation
You must provide accurate, complete information to create an account. You must be at least 13 years old. Only one person or legal entity may be associated with a single account. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Master Password
Your master password is the key to your vault. You are fully responsible for creating a strong, unique master password, keeping it confidential, and for all activity under your account. Passwall cannot recover your master password. If you forget it, you will permanently lose access to your vault.
4. License Grant
Subject to your compliance with this Agreement, Passwall grants you a limited, non-exclusive, non-transferable, revocable license to use the software, applications, and Passwall Services (collectively "Licensed Materials") solely for your personal or business use. You may install and use the Licensed Materials on devices you own or control.
This license does not grant you any rights to:
- distribute, sublicense, sell, lease, rent, or share the Licensed Materials;
- reverse engineer, decompile, disassemble, attempt to derive source code, or create derivative works from the Licensed Materials except as permitted by law;
- use the Licensed Materials in any way that violates applicable laws or third-party rights.
The license is effective until terminated by you or Passwall. Your rights under this license terminate automatically if you fail to comply with any terms of this Agreement.
5. Acceptable Use
You may use Passwall for lawful personal or business password management and related activities. You may store information in your vault and share access with authorized team members.
You may not use Passwall Services for illegal purposes, to attempt to access others' data, to distribute malware, to harass others, to resell or redistribute services without authorization, or to circumvent security measures.
6. Subscription Plans and Payments
Passwall offers subscription plans that may be free or paid. Paid plans are billed monthly or annually and renew automatically unless canceled. Prices may change with advance notice. Refunds may be provided at Passwall's discretion. After cancellation, access continues until the end of the billing period; data is retained for 30 days after cancellation and then permanently deleted.
7. Intellectual Property
Passwall and its content (not including your vault data) are protected by copyright, trademark, and other laws. All rights not expressly granted are reserved by Passwall. You retain all rights to your vault data.
8. Warranties, Disclaimers, and Limitations
Passwall Services and Licensed Materials are provided "as is" and "as available." Passwall does not guarantee uninterrupted or error-free service or that the Licensed Materials will meet your requirements. To the fullest extent permitted by law, Passwall disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent allowed by law, Passwall shall not be liable for loss of data (including due to forgotten passwords), unauthorized access, service interruptions, or indirect, incidental, or consequential damages.
9. Termination
Passwall may suspend or terminate your access if you violate this Agreement, engage in illegal activity, pose a security risk, or fail to pay for paid services. Upon termination, you have 30 days to export your data before permanent deletion.
10. Changes to Terms
Passwall may modify this Agreement at any time. Material changes will be communicated via email, in-app notifications, or notice on the website. Continued use after changes constitutes acceptance.
11. Governing Law
This Agreement shall be governed by the laws of England and Wales. Any dispute shall be resolved in the courts of London, United Kingdom.
